• The Company shall pay all royalties and license fees relating to the design, construction, start-up, testing, and Acceptance of the Treatment Facility and Related Components, and operation and maintenance of the Treatment Facility.

• Without limiting the generality of the foregoing, this Agreement shall completely and fully supersede all other understandings and agreements among the parties with respect to such transactions, including those contained in the City's RFP for the Treatment Facility and Related Components, the proposal of the Company submitted in response thereto, and any amendments or supplements to such RFP or to such proposal.
