The REIT Management Fee may or may not be taken, in whole or in part as to any year, in the sole discretion of the Advisor.
All or any portion of the REIT Management Fee not taken as to any fiscal year shall be deferred without interest and may be taken in such other fiscal year as the Advisor shall determine.
The REIT Management Fee shall be payable monthly on the last day of such month, or the first business day following the last day of such month.
Assuming that the shares owned by a Large Investor is equal to 1% of all of the Company’s outstanding shares as of the last day of the month when the monthly REIT Management Fee is calculated.
The rebate will be paid directly by the Advisor to Large Investors as a pro rata rebate of a portion of any REIT Management Fee that it receives.

Net present value, for the purpose of this definition, shall be calculated as follows: the REIT Management Fee Amount discounted by (i.e. divided by) 1.08 to the power of "60", with "60" being the number of months in the discount period.
All payments of the REIT Management Fee shall be subject to annual adjustment at year end as provided in Section 3.5 hereof.
