Regulatory Registration definition

Regulatory Registration means, in relation to any Licensed Product, such approvals by the regulatory authorities in a given country (including pricing approvals) as may be legally required before such Licensed Products may be commercialized or Sold in such country.

  • There are no Proceedings pending or, to Seller Parent’s Knowledge, threatened which would reasonably be expected to result in the material limitation, material adverse modification, revocation, cancellation or suspension of any material Permits or Regulatory Registration.

  • To Seller Parent’s Knowledge, except with respect to any Product for which a Regulatory Registration was subsequently granted in the jurisdiction of such Governmental Authority, there are no written statements, citations, correspondence or decisions by any Governmental Authority stating that any of the Products is materially unsafe or materially fails to meet any product warranty or other quality standards promulgated by any such Governmental Authority.

  • Following the transfer of the Regulatory Registrations, Seller shall not retain any rights in any Regulatory Registration included in the Acquired Assets or (except as otherwise provided in this Agreement) Books and Records, including any rights to use or reference.

  • Seller Parent and Buyer shall use commercially reasonable efforts to complete the transfer of each Regulatory Registration included in the Acquired Assets as promptly as practicable after the Closing Date, and in no event more than applicable periods specified in the preceding sentence, for the benefit of Buyer (and/or one or more of its designated Subsidiaries), including a complete export of all electronic common technical document applications related to the Products.

  • There are no Proceedings (i) pending against any Seller or, to Seller Parent’s Knowledge, against any third-party distributor or dealer holding a Regulatory Registration, or (ii) to Seller Parent’s Knowledge, threatened in writing which would reasonably be expected to result in the revocation, cancellation or suspension of any Regulatory Registrations.

  • The Company shall be the legal manufacturer of the New Territory’s Products all Regulatory Registration shall be in the name of the Company.

  • Transfer of title to any Regulatory Registration for the Products shall be effective as of the Closing.
