Regulatory Claims definition

Regulatory Claims and individually as a “Regulatory Claim”), including, as incurred, all attorneys’ fees that Tenant, ▇▇▇▇▇▇’s Parent or any Affiliates thereof may incur that arise out of or in connection with the Tenant’s breach of any representation, warranty or other obligation in this Section 6.1(b). Landlord shall promptly notify Tenant of any Regulatory Claim filed against Landlord or any Indemnified Party, and Tenant shall defend Landlord and the Indemnified Parties, at the request of Landlord or any one or more of the Indemnified Parties, with counsel reasonably satisfactory to Landlord or the applicable Indemnified Parties making the request. The terms of this Section 6.1(b) shall survive the expiration or earlier termination of this Lease.

Examples of Regulatory Claims in a sentence

  • Notwithstanding Section 11.2, with respect to any (i) Regulatory Claims or (ii) any Claims relating to Taxes, Buyer shall have the right to offset, without penalty, from the Escrow Amount, subject to the provisions of the Escrow Agreement, any damage suffered by Buyer from the first dollar.

  • GRC's obligation to indemnify Buyer in respect of Regulatory Claims shall continue without limitation beyond the Survival Period.

  • A Regulatory Claim and the sharing set forth in this Section 10.6 does not apply to, and excludes, that portion of any Claims that are made against Servco, AAHA, or PVP, with the understanding that the sharing set forth in this Section 10.6 applies only to Regulatory Claims made against Buyer.
