Regulation S Physical Notes and together with the U.S. Physical Notes, the “Physical Notes”) in registered form. Regulation S Physical Notes. Section 103. Rules of Construction. For all purposes of this Indenture, except as otherwise expressly provided or unless the context otherwise requires: (1) the terms defined in this Indenture have the meanings assigned to them in this Indenture; (2) “or” is not exclusive; (3) all accounting terms not otherwise defined herein have the meanings assigned to them in accordance with GAAP; (4) the words “herein,” “hereof” and “hereunder” and other words of similar import refer to this Indenture as a whole and not to any particular Article, Section or other subdivision; (5) all references to “$” or “dollars” shall refer to the lawful currency of the United States of America; (6) the words “include,” “included” and “including,” as used herein, shall be deemed in each case to be followed by the phrase “without limitation,” if not expressly followed by such phrase or the phrase “but not limited to”; (7) words in the singular include the plural, and words in the plural include the singular; 201

• The U.S. Physical Notes and the Regulation S Physical Notes are sometimes collectively herein referred to as the "Physical Notes".

• The Regulation S Physical Notes and the U.S. Physical Notes are sometimes collectively referred to herein as the "PHYSICAL NOTES." The 144A Global Notes and the Regulation S Global Notes are sometimes collectively referred to herein as the "GLOBAL NOTES".

• Notes issued in exchange for interests in the Regulation S Global Notes pursuant to Section 2.08(e) shall be in theform of permanent certificated Notes (the "Regulation S Physical Notes", and together with the U.S. Physical Notes, the"Physical Notes") in registered form.

• In addition, U.S. Physical Notes and Regulation S Physical Notes shall be transferred to all beneficial owners in exchange for their beneficial interests in the 144A Global Notes and the Regulation S Global Notes, respectively, under the circumstances set forth in (c)(i), (ii) or (iii) of Section 2.2A of this Indenture.

• Notes issued pursuant to Section 2.07 in exchange for interests in the Regulation S Global Notes shall be in the form of permanent certificated Notes in registered form substantially in the form set forth in Exhibit A (the "Regulation S Physical Notes").
