The Company shall not execute, close or announce any equity or debt financing arrangement during the period commencing on the date of a Regular Purchase Share Notice, an Add-On Purchase Notice or an Intraday Purchase Notice and ending on the Business Day following the payment for the purchase subject to each such notice.
The Investor’s committed obligation under any single Regular Purchase shall not exceed Five Hundred Thousand Dollars ($500,000).
The Company shall not issue any fraction of a share of Common Stock upon any Regular Purchase, Add-On Purchase or Intraday Purchase.
Notwithstanding anything in this Agreement to the contrary, the Investor’s committed obligation to purchase shares under any single Regular Purchase shall not exceed Five Hundred Thousand Dollars ($500,000), and the Investor’s aggregate daily committed obligation for all Intraday Purchases in a single Business Day shall not exceed $1,000,000.
For each Regular Purchase, the Investor shall pay to the Company an amount equal to the Regular Purchase Amount with respect to such Regular Purchase as full payment for such Purchase Shares via wire transfer of immediately available funds on the same Business Day that the Investor receives such Purchase Shares, if such Purchase Shares are received by the Investor before 1:00 p.m., Eastern time, or, if such Purchase Shares are received by the Investor after 1:00 p.m., Eastern time, the next Business Day.
The Investor and the Company shall each maintain records showing the remaining Available Amount at any given time and the dates and Purchase Amount for each Regular Purchase, Add-On Purchase and Intraday Purchase or shall use such other method, reasonably satisfactory to the Investor and the Company.
The Company may submit a Regular Purchase Notice to the Investor as often as every Business Day after the market has closed (i.e. after 4:00 P.M. Eastern Time and prior to 6:30 P.M. Eastern Time) so that the Regular Purchase Price is always fixed and known at the time the Company elects to sell shares to the Investor pursuant to a Regular Purchase Notice.
