If the Company does not demonstrate the same to Zix in Zix’s reasonable discretion, then the Registered Lead in question shall cease to be a Registered Lead for purposes of this Agreement and may be reassigned.
In order to qualify under this Agreement, any Registered Lead must originate: (i) for Direct Sales, from the specific LogMeIn Lead registration Web page, and/or, (ii) for Online Sales, from a link to the applicable LogMeIn Web page embedded with a Referral Partner channel tag for tracking purposes.
In order for a Contact to become a Registered Lead, Responsis must accept the Contact.

This form will ask for all required fields for the Contact as described in the definition of a Registered Lead.
A Registered Lead shall be valid for twelve (12) months from the date of registration.
If there is no time period indicated at the time of submission, then the Registered Lead shall expire four months from the date the Registered Lead was accepted.
Following the expiration of such time period, the lead in question shall cease to be a Registered Lead for purposes of this Agreement, unless the parties otherwise mutually agree in writing.
The Company will offer its Services to the Registered Lead in order to capture the business opportunity.
A Lead will not qualify as a Registered Lead if such Lead (a) is an existing account of AccuKnox (or any AccuKnox partner) as of the date the Lead Generation Form was submitted, (b) is an OEM or distributor of AccuKnox’s, or (c) has been previously contacted by AccuKnox, either directly or indirectly through a related person (such as a sales representative), company or a partner of AccuKnox, the purpose of which contact was to market any of the Products and Services to such Lead.
