Refund Threshold definition

Refund Threshold means, at any time, 0.5% of the Equity Value, reduced by amounts of refunds of Pre-Closing Taxes previously received by any Cinemex Company and retained by it pursuant to the application of clause (ii) of Section 11.9(a).
Refund Threshold has the meaning set forth in Exhibit B-5.
