Refined Coal means a liquid, gaseous, or solid fuel produced from coal by the Facilities that produces, upon sale to an Unrelated Person, a Section 45 Credit.

Refined Coal means the coal-based solid fuel product that is eligible for Section 45 Tax Credits and produced by Producer at the Facility while it is located on the Facility Land.

• Lessee shall only use the Facility for the production of Refined Coal.

• Thereafter, if the Section 45 Credit for Refined Coal produced by the Facility is extended, Lessee shall be entitled in its sole discretion to terminate this Lease.

• In addition, Producer need not agree to any remedial action (and may terminate any remedial action agreed to) that Producer believes, in its sole discretion, could impair or jeopardize the ability of the Refined Coal to qualify for Section 45 Tax Credits.

• Exclusive Agent Agreement, dated as of February 12, 2010, by and among Elcan Partners, LLC, CCS, NexGen Refined Coal, LLC and ADA-ES, Inc.

Refined Coal has the meaning given to such term in the Refined Coal Supply Agreement.

"Republic Investor" has the meaning set forth in the introductory paragraph hereof. "Republic Purchase Agreement" has the meaning set forth in Recital E. 12

Refined Coal has the meaning set forth in the LLC Agreement.

Refined Coal means “refined coal” the production and sale of which qualifies for Section 45 Tax Credits.”

Refined Coal means the refined coal product produced by Seller for sale to Buyer pursuant to this Agreement.
