Reference Software definition

Reference Software means the software and its documentation, including the operating manuals, the Source Code and the Platform architecture specifications (the “Documentation”), developed under this Agreement by LB with the assistance of CIE on the basis of the LB Software, to comply with the Specification and LB Applicable Regulations and to be delivered by LB to CIE on the Delivery Date. A copy of the Reference Software as of the Completion Date will be lodged in escrow with the Escrow Agency, as further described in the Agreement.

  • All of Liquid Audio's promotions regarding devices incorporating SP3 device module software shall describe OEM as one of Liquid Audio's preferred partners for consumer products utilizing the Liquid Audio Reference Software.

  • LB hereby grants to CIE a limited, non-exclusive, non-transferable licence to use, copy, modify or adapt the LB Software and/or its Documentation for the duration of the Development Phase and for the purposes of cooperating in the development of the Reference Software, and solely at the site of CIE Equipment.

  • Non-Commercial Use – The use of the xvc Reference Software and/or any xvc Implementation for purposes that are not commercial in nature.

  • Employee agrees to immediately advise Company in writing of (a) the acceptance of any employment following termination, and (b) the amount of all compensation received within three (3) months of Employee’s date of termination with Company.

  • Upon such acceptance, the Reference Software will be duplicated and installed on each party’s separate Platforms.

  • It is agreed between the parties that such acceptance by CIE is final and amounts to the acknowledgment by CIE that the Reference Software meets the Specification without any reservation and that the Reference Software Acceptance Fee is due as specified in Schedule 4.

  • All grants provided in Section 1 are immediately terminated if the Licensee or an agent of the Licensee file, maintain, or voluntarily participate in a lawsuit related to the xvc Reference Software or any xvc Implementation against Divideon or any xvc Licensee.

  • Any rights granted by the supplying party to use or exploit any of its Intellectual Property Rights will terminate immediately upon the termination of this Agreement, except in respect of any rights in the Reference Software, Materials, Operating Manuals, and any Improvements, for which the receiving party will have the benefit of the assignments and perpetual and irrevocable licences granted in clauses 4 and 5 hereof.

  • OEM will retain all rights to the ----------------------------- modifications and other derivative works of the Liquid Audio Reference Software created by OEM under Section II(a)(i) subject to Liquid Audio's underlying rights in the Liquid Audio Reference Software.

  • These criteria and data shall be such as are reasonably required to show that the Reference Software operates in accordance with, and conforms to, the Specification.

Related to Reference Software

  • SAP Software means: (i) any and all software products and Cloud Services licensed to Customer under the License Agreement as specified in software order forms or Cloud Service Order Forms (or other order forms, schedules or appendices as applicable) thereto; (ii) any new releases, updates or versions thereof made available through unrestricted shipment pursuant to the respective support agreement or warranty obligation and (iii) any complete or partial copies of any of the foregoing.

  • Service Software means any and all software applications and any third-party or other software, and all new versions, updates, revisions, improvements and modifications of the foregoing, that Contractor provides remote access to and use of as part of the Services.

  • Embedded Software means one or more software applications which permanently reside on a computing device.

  • Hosted Software means: (a) Hosted NCR Voyix Software; and (b) Non-NCR Voyix Software provided by a third party as a hosted software application or cloud service and for which Customer purchases a subscription through NCR Voyix pursuant to an Order (“Non-NCR Voyix Hosted Software”).

  • Open Source Software means any software generally distributed publicly in source code form under any license that is listed at ▇▇▇▇://▇▇▇.▇▇▇▇▇▇▇▇▇▇.▇▇▇/licenses or that complies with the Open Source Definition available at ▇▇▇▇://▇▇▇▇▇▇▇▇▇▇.▇▇▇/osd. Open Source Material includes software that is licensed under the GNU General Public License, GNU Lesser General Public License, Mozilla Public License, Apache License, or BSD License.
