REFERENCE POSITION. REFERENCE POSITION means a nominated measurement position within the venue sufficiently close to the stage area that the sound level is dominated by the music.
REFERENCE POSITION means the balance sheet ("Comptes retraites") of the Company as at December 31, 1998 prepared in accordance with U.S. GAAP, as if the Contribution and the purchase of the Ingal Stade Shares, had occurred on that date, except that any and all taxes, levies or duties owed by the Company and incurred or arising by virtue of the Contribution or the transfer of the Ingal Stade Shares shall not be reflected in the Reference Position but shall be included in the Control Position. A copy of the Reference Position is attached hereto at APPENDIX C.
