Redemption Proceeds Amount means the aggregate net proceeds from the Remaining August Note (after deduction of brokerage fees and expenses) obtained by the Holder with respect to the sale of August Conversion Shares (as defined in the Exchange Agreement) issued upon conversion of the Remaining August Note.
