The Notes shall be issued pursuant to the Indenture and all Scheduled Payments, Redemption Payments and Repurchase Payments shall be made by automated clearing house (i.e., ACH) remittance from the Trust Account by the Paying Agent in accordance with the Paying Agent Agreement and the Indenture.
After all Other Redemption Payments are paid in full and until the Notes are paid in full, Holders of Notes will be subrogated (equally and ratably with all other Indebtedness pari passu with the Notes) to the rights of holders of Series A Preferred Stock to receive distributions applicable to Other Redemption Payments to the extent that distributions otherwise payable to the Holders of Notes have been applied to the payment of Other Redemption Payments.
The Company will promptly notify the Trustee and the Paying Agent of any facts known to the Company that would cause a payment of any Note Obligations with respect to the Notes to violate this Article 13, but failure to give such notice will not affect the subordination of the Notes to the Other Redemption Payments when due as provided in this Article 13.
Other than set forth in the immediately preceding sentence, the Notes shall in all respects rank pari passu with all current and future senior indebtedness and senior to all existing and future subordinated indebtedness of the Company, and only Other Redemption Payments shall rank senior to the Notes in accordance with the provisions set forth herein.
This Article 13 defines the relative rights of Holders and Persons to whom Other Redemption Payments are due.
