Redemption Event Notice definition

Redemption Event Notice means a notice delivered by the Swap Counterparty (copying the Determination Agent) to the Issuer specifying the occurrence of a Note Redemption Event and the applicable Early Redemption Date.
Redemption Event Notice means the notice, substantially in the form set out in Schedule 20 (Form of Redemption Event Notice), to be delivered to the Noteholders.
Redemption Event Notice has the meaning set forth in Section 5(d)(iii).

Examples of Redemption Event Notice in a sentence

  • If a Note Redemption Event occurs on or prior to the Maturity Date (regardless of whether or not it is continuing) and the Swap Counterparty delivers a Redemption Event Notice to the Issuer, all the Notes outstanding (and not some only) shall be redeemed by payment in respect of each Note of the Early Cash Redemption Amount in accordance with the following provisions, and accordingly Condition 7(b) (Mandatory Redemption) shall not apply save to the extent provided in this Paragraph.

  • Any failure or delay by the Swap Counterparty to serve a Redemption Event Notice shall not constitute a waiver of the Swap Counterparty’s right to serve such a notice in respect of the relevant event or circumstance or in respect of any other event or circumstance.

  • Any failure or delay by the Issuer to give such a notice to any of the intended recipients thereof shall not affect the effectiveness of any Redemption Event Notice or other provisions of this Paragraph 26(A) (Note Redemption Event).
