The Safekeeper shall not permit the withdrawal of the Notes from its possession except for redelivery to the Purchasers (or as otherwise directed by a Holder) pursuant to a Redelivery Notice and in accordance with the administrative procedures of the Safekeeper.
In the event Lessee fails to deliver a Redelivery Notice within the time period prescribed in the preceding sentence or the Redelivery Notice is revoked or for any other reason deemed not effective, Lessee shall be deemed to have irrevocably elected to purchase each Item of Equipment in accordance with Section 28.2 and shall proceed to purchase the Equipment in accordance therewith.
If at any time after Lessee delivers a Redelivery Notice, a Lease Default or a Lease Event of Default shall occur, then Lessee's Redelivery Notice shall be deemed automatically irrevocably revoked and Lessee shall be deemed to have irrevocably elected the purchase option in Section 28.2 and shall proceed to purchase the Equipment in accordance therewith.
So long as no Lease Default or Lease Event of Default shall have occurred, Lessee shall have the option, exercisable by giving Lessor written notice (a "Redelivery Notice") on or before 365 days prior to the Termination Date, to remarket all Items of Equipment then subject to this Lease Agreement and, if the Equipment is not sold to a third party in accordance with 28.3.3, deliver the Equipment to Lessor or its designee on the Termination Date in accordance with Section 6.
If Southwest fails to take redelivery of any Aircraft on the date set forth in a Redelivery Notice, Southwest shall remain obligated for any charges arising from the continued storage of such Aircraft until redelivery.
During a Redelivery Program notified pursuant to this Article 15, Buyer shall be obligated to deliver to Seller at the fixed daily rate described in Section 15.4(b) (subject to Seller's delivery of such quantities on a ratable basis as described in Section 15.4(a)) the quantities specified in the Redelivery Notice provided pursuant to Error: Reference source not found for the price set forth in Section 16.1(c), in the form of vaporized LNG at the tailgate of the LNG Terminal (the "Redelivered Gas").
Upon receipt of at least ten (10) days notice from the Owner/Operator in the form attached hereto as Appendix D (the "Redelivery Notice"), AVTEL shall redeliver the Aircraft identified in such Redelivery Notice to Southwest, on the date set forth in such Redelivery Notice.
Buyer shall not be in default of its obligation to deliver to Seller Redelivered Gas pursuant to a Redelivery Program if Seller fails, for any reason, to deliver sufficient cargoes of Redelivery Quantities to Buyer in order to allow Buyer to make deliveries of Redelivered Gas to Seller at the daily delivery rate (in MMBtu per day) set forth in Seller's Redelivery Notice.
