Red Carpet definition

Red Carpet. The franchises permit the use of a proprietary system developed by Seller which assists individuals and businesses in buying and selling real estate (the "BUSINESS"). Seller desires to sell to Buyer, and Buyer desires to purchase from Seller, all of Seller's right, title and interest in and to certain assets of Seller relating to or in connection with the Business as specifically set forth herein.
Red Carpet has the meaning specified in the introductory paragraph above.
Red Carpet. “RED CARPET STOCKHOLDER:” Red Carpet Entertainment, Inc. a Nevada corporation /s/ ▇▇▇▇▇ ▇▇▇▇▇▇▇ /s/ ▇▇▇▇▇ ▇▇▇▇▇▇▇ ▇▇▇▇▇ ▇▇▇▇▇▇▇ ▇▇▇▇▇ ▇▇▇▇▇▇▇ President “▇▇▇▇▇▇ DAILY:” ▇▇▇▇▇▇ Daily, Inc. a California corporation /s/ Name: Title: “▇▇▇▇▇▇ DAILY SHAREHOLDERS:” /s/ ▇▇▇▇ ▇▇▇▇▇▇ /s/ ▇▇▇▇▇ ▇▇▇▇▇▇▇▇ ▇▇▇▇ ▇▇▇▇▇▇ ▇▇▇▇▇ ▇▇▇▇▇▇▇▇ This Disclosure Schedule modifies, amends, supplements and discloses, and states exceptions to, the representations and warranties of ▇▇▇▇▇▇ Daily or the ▇▇▇▇▇▇ Daily Shareholders, set forth in Section 4 of the Agreement. Each disclosure herein, including but not limited to those which are contained on any subschedules or exhibits included herein, is made for the sake of convenience as to all sections of the Agreement, even if such disclosure is specified for a single section of the Agreement, without the need for identification of specific additional sections or repetition, but only to the extent that the disclosure is reasonably apparent on its face as being applicable to such other section. Any terms not defined herein which are defined in the Agreement shall have the meaning set forth in the Agreement. Where any representation or warranty contained in the Agreement is limited or qualified by the materiality of the matters to which the representation or warranty is given, the inclusion of any matter in this Disclosure Schedule does not constitute a determination that such matters are material.

Examples of Red Carpet in a sentence

  • The terms in this Section only apply, and supersede any conflicting terms herein, if the Order Form indicates "Red Carpet".

  • For clarity, the Red Carpet Subscription license may be re-allocated to another Developer in the event that the original named Developer is no longer employed by you or has been assigned to a new role where access to the Red Carpet Subscription will no longer be required.

  • Any Applications developed hereunder with the products included in the Red Carpet Subscription which are designated on the list as a Machine or Server license are limited to deployment to a single Machine or Server.

  • For the avoidance of doubt, any individual product keys included in the Red Carpet Subscription which was not previously activated and obtained by the Developer during the Subscription Term will expire.

  • Subject to your payment of fees, during the Subscription Term we grant you a non-assignable, non-sublicensable, non-exclusive, worldwide right and license for the number of Developers indicated in the Order Form to install the individual software products listed at ▇▇▇▇▇://▇▇▇.▇▇▇▇▇▇▇▇▇.▇▇▇/subscriptions/details.aspx as updated from time to time ("Red Carpet Subscription"), on any number of Machines used exclusively by the Developer, in order to create, develop, build and test Applications.

  • Any Applications developed hereunder with the products included in the Red Carpet Subscription and which are designated on the list as "Royalty- Free", may be distributed according to the subsection entitled "Royalty-Free Application Distribution" above.

  • A copy of the Red Carpet Lease Assignment with the Dealer that originated the Lease (the “Dealer Assignment”).

  • Any Applications developed hereunder with the products included in the Red Carpet Subscription and which are designated on the list as "Royalty-Free", may be distributed according to the subsection entitled "Royalty-Free Application Distribution" above.

  • Subject to your payment of fees, during the Subscription Term we grant you a non-assignable, non-sublicensable, non- exclusive, worldwide right and license for the number of Developers indicated in the Order Form to install the individual software products listed at ▇▇▇▇▇://▇▇▇.▇▇▇▇▇▇▇▇▇.▇▇▇/subscriptions/details.aspx as updated from time to time ("Red Carpet Subscription"), on any number of Machines used exclusively by the Developer, in order to create, develop, build and test Applications.
