Recipient Agent means an agent that receives payments on behalf of the Lenders and the Partici pants. “ Record ” means information that is inscribed on a tangible medium or that is stored in an electronic or other medium and is retrievable in perceivable form. “ Refinancing ” means, collectively, substantially concurrently with the consummation of the C losing Date Merger, the repayment in full of all indebtedness under each of the Existing Credit Facilities, and the release of any Liens securing such indebtedness; provided that the foregoing shall not be construed to require the termination of any of the Existing Letters of Credit. “ Refinancing Indebtedness ” means refinancings, renewals, or extensions of Indebtedness (other than Indebtedness in respect of the Obligations) so long as: (a) such refinancings, renewals, or extensions do not result in an increase in the principal amount of the Indebtedness so refinanced, renewed, or extended, other than by the amount of premiums paid thereon and the fees and expenses incurred in connection therewith and by the amount of unfunded commitments with respect thereto, (b) su ch refinancings, renewals, or extensions do not result in a shortening of the final maturity date or the average weighted maturity (measured as of the refinancing, renewal, or extension) of the Indebtedness so refinanced, renewed, or extended, nor (except in the case of Term Loan Indebtedness) are they on terms or conditions that, taken as a whole, are or could reasonably be expected to be materially

  • In the event Recipient Broker/Agent provides the Referred Clients information to another Agent in the brokerage and the Referred Client closes with that Agent, a Referral Fee will be due and that agent shall also be considered a Recipient Agent for the purposes of this Agreement.
