Received Consideration definition

Received Consideration means the cash amount which has been paid and delivered by Buyer to the Sellers and the Closing Share Price of the shares which have been transferred to the Sellers hereunder; and (ii) the Sellers shall have the right, at their sole discretion, to elect to pay any Buyer Damages which may be due hereunder by payment in cash and/or delivery of such shares at the Closing Share Price. Moreover, Sellers shall have no liability with respect to any single Damage which does not exceed Ten Thousand Euro (€10,000) and Sellers shall have no liability unless all the Damages in the aggregate exceed Twenty Five Thousand Euro (€25,000), after which Buyer shall be entitled to recover all Buyer Damages including the basket.

Examples of Received Consideration in a sentence

  • Except for the Fundamental Representations and Fraud, the aggregate amount of all Losses for which Seller shall be liable pursuant to Section 8.02(a) shall not exceed fifteen percent (20%) of the Actually Received Consideration.

Related to Received Consideration

  • Agreed Consideration means the consideration mentioned in PART-I of the FIFTH SCHEDULE hereto and payable by the Purchaser to the Builder for acquiring the said Unit.
