  • If Purchaser shall fail to collect such amount of the Accounts Receivables by the Receivable Writeback Date, then Seller shall acquire the uncollected Accounts Receivable from Purchaser in an amount equal to such excess (the "Receivable Writeback Amount") in consideration of the Escrow Agent delivering to the Purchaser in accordance with the terms of the Escrow Agreement cash equal to the Receivable Writeback Amount.
