Recap Value definition

Recap Value has the meaning set forth in Section 2.06(c)(iii).

  • The resolution of the dispute and the calculation of the gross revenues and/or Retained Gross Revenue with respect to the sale of Public Cord Blood Inventory, the Eligible Profit, and/or the Recap Value, that is the subject of the applicable Earnout Calculation Objection Notice by the Independent Valuator shall be final and binding on the Parties.

  • If Seller timely delivers an Earnout Calculation Objection Notice, Buyer and Seller shall negotiate in good faith to resolve the disputed items and agree upon the resulting amount of the gross revenues and/or Retained Gross Revenue with respect to the sale of Public Cord Blood Inventory, the Eligible Profit, and/or the Recap Value, as applicable, and the Earnout Payment for the applicable period.

  • Fund Value means the total number of Units in Fund(s) multiplied by the respective NAV of the Fund(s);

  • Contribution Amount has the meaning given in subsection 444-90(1A) in Schedule 1 of the Australian Taxation Administration Act 1953 (Cth).

  • Invested Capital means the amount calculated by multiplying the total number of Shares purchased by Stockholders by the issue price at the time of such purchase, reduced by the portion of any Distribution that is attributable to Net Sales Proceeds and by any amounts paid by the Company to repurchase Shares pursuant to the Company’s plan for the repurchase of Shares.

  • 704(c) Value of any Contributed Property means the fair market value of such property or other consideration at the time of contribution, as determined by the General Partner using such reasonable method of valuation as it may adopt. Subject to Exhibit B hereof, the General Partner shall, in its sole and absolute discretion, use such method as it deems reasonable and appropriate to allocate the aggregate of the 704(c) Values of Contributed Properties in a single or integrated transaction among the separate properties on a basis proportional to their respective fair market values.

  • PIPE Investment Amount means the aggregate gross purchase price received by Acquiror prior to or substantially concurrently with Closing for the shares in the PIPE Investment.
