If during the term of the Agreement, there is a Change of Control of United HealthCare, as defined above, United HealthCare has the option to terminate the Agreement by providing PBM with ninety (90) days prior written notice and by paying to PBM within sixty days of termination date an amount equal to the aggregate payments that have been made to United HealthCare by PBM under Trend Guarantee and PDL Rebate Guarantee as addressed in the Financial Appendix.
If any such termination occurs prior to payment by PBM of any Trend Guarantee or PDL Rebate Guarantee, United HealthCare shall pay to PBM within 60 days after such termination date an amount equal to the transition costs paid by PBM to United HealthCare pursuant to Provision 8 of the Financial Appendix.
The PDL Rebate Guarantee shall not apply to Drug Formulary Only accounts.
