R&D Personnel definition

R&D Personnel means employees of Introgen assigned (full- or part-time) to perform research, development or regulatory affairs activities under the R&D Program, including project managers, scientists, clinical research and manufacturing staff, post-doctoral fellows, quality control and assurance personnel, technicians or the like. As used in this Agreement, a "full-time equivalent" or "FTE" shall mean a full-time person, or in the case of less than a full-time dedicated person, a full-time, equivalent person year, based upon a total of one thousand eight hundred eighty (1,880) hours per year, of work related to the R&D Program. For purposes of the foregoing, "employees" shall include "contract workers" who work at Introgen's facilities under Introgen's direction, but do not include outside consultants, such as regulatory affairs consultants, academic collaborators or the like.
R&D Personnel means employees of a Party assigned (full- or part-time) to conduct research, scientific and/or technical activities under the Plans and Budgets and having qualifications reasonably approved by the JSC, including scientists, clinical research staff, post-doctoral fellows and similarly qualified technicians, but excluding personnel performing non-scientific or non-technical activities such as project management personnel, patent counsel, business development personnel, secretarial staff or the like. For purposes of the Research funded under Section 9.1.1 below, R&D Personnel will include […***…] for MG’s […***…]. For purposes of the Preclinical Development conducted hereunder, R&D personnel may include manufacturing personnel performing QA/QC and other GMP-related activities. In addition, internal costs of the Approved Preclinical Studies may include approved actual costs of MG’s Program Director, on a percentage of time basis.
R&D Personnel means any and all persons, agents, employees, contractors, third parties, including Clinical Study Personnel, who may be engaged, employed, or contracted to perform R&D Work.

  • Should the Requesting Party, based on reasonable grounds, deem any of the other Party’s R&D Personnel unfit, the other Party shall cooperate to identify a replacement for such objected to R&D Personnel.

  • Upon a Party’s request (“Requesting Party”), the other Party shall promptly provide to the Requesting Party the academic and professional credentials, qualifications, and background of any R&D Personnel contracted by the other Party to perform R&D Work.
