R&D Components definition
R&D Components means components and sub-assemblies of the Consumable considered as research & development deliverables intended to be used only for Talis internal research and development activities (e.g., allowing Talis to simplify assay development and testing), and which are not for commercial use other than in connection with in-house design or (when and if applicable) in connection with in-house manufacturing under the License Agreement, and including:
(a) […***…] of varying volume and physical size that are supplied to Talis or Talis’ Third Party supplier for […***…]; and
(b) […***…] of the consumable (whether partially assembled or fully assembled) and in a form and configuration to be agreed by the Parties.
