BKRF shall at all times maintain the Designated Account (as defined in the RCF Agreement) and any other account permitted herein in accordance with this Agreement and the other RCF Documents.
As an agreement among the RCF Secured Parties and the Term Loan Secured Parties only, and without prejudice to any rights of such Secured Parties under the RCF Documents or the Term Loan Documents, as applicable, the indebtedness outstanding under the RCF Documents or under the Term Loan |US-DOCS\149079678.29|| Documents may be refinanced in their entirety if such Refinancing is a Permitted Refinancing.
Unless and until the Discharge of ABL Obligations has occurred, all proceeds of any such insurance policy or any such award with respect to the ABL Priority Collateral shall be paid to the ABL Administrative Agent to the extent provided under the ABL Documents and thereafter to the Term Loan/Euro RCF Collateral Agent to the extent provided under the Term Loan/Euro RCF Documents and then to the owner of the subject property or as a court of competent jurisdiction may otherwise direct.
The RCF Documents are deemed to have been executed and delivered, and all extensions of credit thereunder are deemed to have been made or incurred, in reliance upon this Agreement.
For avoidance of doubt, it is understood that nothing in this Agreement shall prevent any RCF Secured Party or any Term Loan Secured Party from exercising any available remedy to accelerate the maturity of any indebtedness or other obligations owing under the RCF Documents or the Term Loan Documents, as applicable, or to demand payment under any guarantee in respect thereof.
No right or benefit of any party hereunder shall at any time in any way be prejudiced or impaired by any act or failure to act on the part of such party or any other party hereto or by any noncompliance by any Loan Party with the terms and conditions of any of the RCF Documents or the Term Loan Documents.
In addition, each of the Loan Parties, RCF Representative and the Term Loan Representative hereby agree that the Proceeds of any insurance policies shall be deposited into one or more RCF Priority Accounts (as specified in the RCF Documents).
The Term Loan Representative and the RCF Representative hereby agree that no party shall have any duty to advise any other party of information known to it regarding such condition or any such circumstances (except as otherwise provided in the RCF Documents and Term Loan Documents).
In the event of any conflict between the provisions of this Agreement and the provisions of the ABL Documents or the Term Loan/Euro RCF Documents with respect to the Collateral, the provisions of this Agreement shall govern.
All obligations under the DIP RCF Facility (as defined below) and the other DIP RCF Documents (as defined below) will be unconditionally guaranteed (the “Guarantee”) by each Affiliate of the Borrower that is a debtor-in-possession under the Bankruptcy Code (such parties, the “Guarantors”; and, together with the Borrower, collectively the “Debtors”), each of which Guarantors have been identified on Schedule 1 hereto.
