RC Agreement means the Second Amended and Restated Credit Agreement dated as of April 9, 1997 and amended and restated as of March 19, 1999 among Venator Group, Inc. (formerly known as Woolworth Corporation), subsidiaries of the Applicant party thereto, the Banks party thereto, the Co-Agents party thereto, Bank of America NT & SA, as Documentation Agent, The Bank of New York, as Administrative Agent, LC Agent and Swingline Bank, and ▇.▇. ▇▇▇▇▇▇ Securities, Inc., BNY Capital Markets, Inc., and NationsBank ▇▇▇▇▇▇▇▇▇▇ Securities LLC, as Lead Arrangers, as amended or amended and restated or otherwise modified or supplemented from time to time.
