Raw Materials and Components definition

Raw Materials and Components means, with respect to each Product and each API, any and all raw materials and components (such as chemicals, containers, closures, packaging, labeling, etc.) needed to manufacture, test, assemble, store, package and label such Product or API, as applicable, for sale in the Territory owned by the Seller and its Affiliates as of the Closing Date.

  • DPT shall use commercially reasonable efforts to obtain the best price for all Raw Materials and Components.

  • With respect to any Raw Materials and Components furnished by Connetics pursuant to SECTION 3.2(b), before DPT receives and tests such Connetics-supplied material, and as a condition precedent of any testing or formulation work by DPT pursuant to this Agreement, Connetics shall provide MSDS sheets to DPT.

  • The price for Connetics' Products shall be the actual cost of Raw Materials and Components, plus the Manufacturing Fee.

  • Manufacturing Cost shall equal the cost to manufacture a product during the applicable period and shall include only the following components: · The actual direct Raw Material acquisition costs from Third Parties · The actual direct component acquisition costs from Third Parties · Incoming freight costs for Raw Materials and Components · Actual direct labor costs including direct payroll and payroll taxes paid and commercially reasonable charge for fringe benefits for direct labor employees.

  • Lonza shall be responsible for procuring Raw Materials and Components identified in the Specifications other than the APL Lonza will destroy or ship unused API following instructions provided by Customer, consistent with Lonza's environmental, health and safety guidelines.

  • If Catalent re-performs any Services, and Client approves such re-performance in writing, Client shall be responsible for the cost of all Raw Materials and/or Components and Client shall supply Catalent with sufficient quantities of any Client-Supplied Raw Materials and Components in order for Catalent to re-perform such Services.

  • Catalent shall store Raw Materials and Components which are not Stock Items for [***] full calendar months from receipt date of each item, without charge.

Related to Raw Materials and Components

  • Raw Materials means all raw materials, supplies, components and packaging necessary to manufacture and ship the Product in accordance with the Specifications, as provided in Exhibit A, but not including the API.

  • Drug Substance means an active ingredient that is intended to furnish pharmacological activity or other direct effect in the diagnosis, cure, mitigation, treatment, or prevention of disease or to affect the structure or any function of the human body, but does not include intermediates used in the synthesis of such ingredient.

  • Raw Material means any unprocessed material in its raw or natural state that is intended to become part of the components of a cannabis product.

  • Manufacturing Site means a location where a manufacturing

  • Consumables means where the context permits, Digital Print Consumables, Inkjet Printing System Consumables and Prepress Consumables.
