Ratifying Act means the Act to ratify this Agreement and referred to in clause 3 hereof;
Resolutions shall have the meaning set forth in Section 7.5.
Signing means the signing by the Parties of this Agreement;
Corporate Documents means the Company’s Certificate of Incorporation, as amended and/or its Bylaws, as amended.
Attest means providing the following services:
Additional Documents has the meaning specified therefor in Section 5.12 of the Agreement.
duly sign means a Declaration Certificate for Local Content that has been signed by the Chief Financial Officer or other legally responsible person nominated in writing by the Chief Executive, or senior member / person with management responsibility(close corporation, partnership or individual).
Name Change has the meaning given thereto in Section 5.2(a);
Ratification means the acceptance by a local union and by both an institution and the PSEA of the terms of a Collective Agreement that includes this Common Agreement. The local unions and institutions are those listed in 12 above.
certifying staff means personnel responsible for the release of an aircraft or a component after maintenance;
New Organizational Documents means the documents providing for corporate governance of New Valaris Holdco and the Reorganized Debtors, including charters, bylaws, operating agreements, or other organizational documents or shareholders’ agreements, as applicable, consistent with section 1123(a)(6) of the Bankruptcy Code (as applicable).
Authorised Signatories means any two authorised officers of the Issuer signing jointly.
Sign means, with present intent to authenticate or adopt a record:
Authorised Signatory means, in relation to any Obligor, any person who is duly authorised and in respect of whom the Administrative Agent has received a certificate signed by a director or another Authorised Signatory of such Obligor setting out the name and signature of such person and confirming such person’s authority to act.
Power of Attorney means a record that grants an agent authority to act in the place of a principal.
Parent Organizational Documents means the certificate of incorporation, bylaws (or equivalent organizational or governing documents), and other organizational or governing documents, agreements or arrangements, each as amended to date, of each of Parent and Acquisition Sub.
Reaffirmation Agreement means that certain Reaffirmation Agreement, dated as of the date hereof, between the Loan Parties and the Administrative Agent, for the benefit of the Administrative Agent and the Lenders and the other holders of the Secured Obligations.
General Affirmations means the statements in Attachment B, attached hereto and incorporated herein for all purposes, which Provider affirms by executing this Contract.
Corporate Guaranty means a legal document used by an entity to guaranty the obligations of another entity. Cost of New Entry:
Verification on oath or affirmation means a declaration, made by an individual on oath or affirmation before a notarial officer, that a statement in a record is true.
Affirmation means a notarial act, or part thereof, that is legally equivalent to an oath in which an individual, at a single time and place:
E-Signature means the process of attaching to or logically associating with an Electronic Transmission an electronic symbol, encryption, digital signature or process (including the name or an abbreviation of the name of the party transmitting the Electronic Transmission) with the intent to sign, authenticate or accept such Electronic Transmission.
sky sign ’ means a sign where the top edge of any point of that sign exceeds the height of the roof plane to which it is affixed;
Your Signature (Sign exactly as your name appears on the face of this Note) Signature Guarantee*: * Participant in a recognized Signature Guarantee Medallion Program (or other signature guarantor acceptable to the Trustee).
authorised officer means any person authorised by the Environment Agency under section 108(1) of The Environment Act 1995 to exercise, in accordance with the terms of any such authorisation, any power specified in section 108(4) of that Act.
Company Organizational Documents means the certificate of incorporation and bylaws (or the equivalent organizational documents) of the Company and its Subsidiaries as in effect on the date of this Agreement.
