Rate Factor definition

Rate Factor means 2.3778.
Rate Factor with respect to a share of Series A Preferred Stock shall mean the Rate Factor established for the issuance of such Series A Preferred Stock under the Preferred Stock Purchase Agreement pursuant to which such Series A Preferred Stock was issued to the Holder thereof.
Rate Factor means $1.00 per share of Common Stock.
