RAKEZ means Ras Al Khaimah Economic Zone Authority. “Parties” means the RAKEZ and the Supplier and “Party” shall mean either of them. “Products” means those goods mentioned in the Purchase Order, as may from time to time be issued by RAKEZ. "Rejection Costs” means all those costs and expenses enumerated in Clause 8 hereof. “Sales Invoice” means the invoice attached to the delivery of the Products; “Receiving Control List” means the final invoice issued by RAKEZ at the time of accepting delivery of the Products, showing the list of quantity and prices of Products delivered and accepted for payment; “Service Centre” means a fully equipped facility manned by qualified, properly trained and competent staff and technicians possessing the necessary skills to carry out all repair and maintenance work and the requisite authority to perform and discharge all warranty obligations in relation to the Products. “Special Terms” means the special terms relating to the Agreement. “Standard Terms” means these Standard Supply Terms, attached to the Agreement. “Supplier” means the seller of the Products named as such and described in the Agreement. “Term” means the duration of the Agreement as therein specified. “Territory” means the Emirate of Ras Al Khaimah or any other Emirate in the UAE. RAKEZ means the Ras Al Khaimah Economic Zone-Government of Ras Al Khaimah Authority in RAK, United Arab Emirates. “RAKEZ Application” has the meaning given to it in Clause 7.2.2.

• All information concerning the commercial terms and conditions of this Agreement, other than the existence of this Agreement, shall be kept confidential by the Company and shall not be disclosed by the Company to any third party except with the prior written consent of RAKEZ or as may be required by any law, court order or governmental agency, and except on a need to know basis, to the Company’s accountants, auditors, investors, lenders and legal counsel.

• RAKEZ may exercise any of its right under the Applicable Law for the specific enforcement of the Supplier’s obligations in addition to or as an alternative to seeking penalties and/or terminating the Agreement for breach of the provisions hereof.

• The price of the unpaid rejected Products that are either replaced or substituted shall be paid to the Supplier in the month following the month in which such replaced or substituted Products are, if ordered by RAKEZ, delivered to and accepted by RAKEZ.

• Subject to Clause 3.6, the list of the Products and the unit prices at which these shall be supplied to the RAKEZ shall be as shown in the Purchase Order.

• The Facility or any other space within RAKEZ cannot be used to host or accommodate any additional person, animal or pet inside.

• The Company irrevocably and definitely waives the right to claim any compensation from RAKEZ relating thereto.

• No delay, waiver, omission, or forbearance on the part of RAKEZ to exercise any right, option, duty, or power arising out of any breach or default by the Supplier under any of the terms, provisions, covenants, or conditions hereof, shall constitute a waiver by RAKEZ to enforce any such right, option, duty, or power as against the Supplier, or as to any subsequent breach or default by the Supplier.

• It is agreed that the Supplier shall not assign its rights or obligations under the Agreement without the prior written consent of RAKEZ.

• Any payments already received by Supplier for any of the rejected Products shall be held by the Supplier in credit for RAKEZ till such time that the replaced or substituted Products are delivered to or accepted by RAKEZ.

• This Agreement shall commence from the date of issuance of the above Trade License issued by RAKEZ and the same shall remain effective as long as said Trade License remains valid/renewed (the “Term”), unless this Agreement is terminated pursuant to Clause 9 of Part II of this Agreement (Terms and Conditions).
