R&A Manager definition

R&A Manager means (a) the “Manager” under the R&A Management Agreement (the obligations of which will be performed by the Manager under the Management Agreement prior to an R&A Management Severance) and (b) from and after any R&A Management Severance, a Qualified Manager who is managing the portion of the Borrower Retained Property subject to the R&A Management Severance in accordance with the terms and provisions of a Replacement R&A Management Agreement.
