Quotient definition

Quotient means the result of the division of the number of Shares by the number of members of the Board of Directors the Shareholders have the right to elect, excluding any Independent Directors as defined in the Novo ▇▇▇▇▇▇▇ Listing Rules;
Quotient means the quotient referred to in the first paragraph of section 244.45 ;

  • Numerator means, in the case of the SONIA Compounded Index, 365 and, in the case of the SOFR Compounded Index, 360;

  • Fraction means, in respect of any Borrower as determined at any time, a fraction, the numerator of which shall be the Borrower Sublimit of such Borrower at such time, and the denominator of which shall be the sum of the Borrower Sublimits of all Borrowers at such time.

  • Per Share Value means the average value of the consideration to be received in respect of each outstanding Common Share pursuant to the Qualifying Transaction as determined by mutual agreement of the Independent Directors (as defined in Section 2(b)(ii) below) and the holders of not less than 50% in interest of all outstanding warrants to purchase Common Shares containing this provision, or, if they shall fail to agree, by an Investment Bank.

  • Dilution Volatility Component means, at any time, the product (expressed as a percentage) of (i) the difference between (a) the highest three-month rolling average Dilution Ratio over the 12-month period then most recently ended and (b) the Adjusted Dilution Ratio, and (ii) a fraction, the numerator of which is equal to the amount calculated in (i)(a) of this definition and the denominator of which is equal to the amount calculated in (i)(b) of this definition.

  • Dividing Person has the meaning assigned to it in the definition of “Division.”
