Subject to the terms of this Agreement and for the consideration specified in the Quote, Provider hereby grants to Customer a limited, revocable, non-exclusive, non-transferable, non-assignable and non-sublicensable license to access and use the Subscription Services described in each Quote, in the form provided by Provider, during the applicable Subscription Term specified in that Quote, and subject to any additional limitations specified in each Quote.
Unless otherwise set forth in the applicable Quote, Provider warrants to Customer that during the period of [ninety (90) days] from the date set forth in the applicable Quote on which the Subscription Services are made available to Customer (the “Warranty Period”) the Subscription Services will operate in substantial accordance with Provider’s applicable documentation made available by Provider to Customer.
If Client desires training in excess of that provided on the Quote, Provider will provide Client such training by conducting additional one day classes for up to three Solution users at Client’s site at the then current daily rate charged by Provider for such training class and reimbursement of all reasonable out-of-pocket expenses incurred by Provider for travel and lodging.
At any time after the parties sign a Quote, Provider may adjust rates and charges to impose additional rates and charges to recover amounts required or permitted by governmental or quasi-governmental authorities to collect from others or pay to others in support of statutory or regulatory funds or programs.
By accepting the Quote Provider agrees to provide Products in conformance with the respective Order.
