  • Schedule F-2 sets forth, as of the date hereof, a list of Quill™ Know-How that has been reduced to writing and is material to the operation of the Business.

  • There is no pending or, to the Knowledge of Seller, threatened investigation or audit by the FDA, FDA Counterpart or any other Governmental Entity into the business or operations of Seller with respect to Quill™.

  • Each Party acknowledges and agrees that the other Party and its Affiliates have been, are and will continue to be, actively involved in the design, development, Manufacturing, Commercialization, acquisition, marketing, licensing, promotion, sale and/or distribution of products in the Field (including the Product or Quill™, as applicable), as well as products which compete directly with the Product or Quill™ throughout and after the Term.

  • To the Knowledge of Manufacturer, no academic institution, member of an academic institution, corporation or other Person, or any Governmental Entity holds any property rights in any Product Intellectual Property, Quill™ or Product.
