Quantum Partners LP (the “Joining Party”) is a holder of $25,600,000 in principal amount of 4.25% Convertible Senior Notes Due 2019 issued pursuant to that certain Indenture, dated as of September 24, 2014 by and among the Company as Issuer and Wilmington Trust, National Association as Trustee (the “Notes”), plus interest, fees, and other expenses.
Quantum Partners LP’s claims on account of its holdings of Notes (as defined below) shall be separately classified under the Plan, and shall receive 100% of the common equity in reorganized VM on account of such claims.
On the Plan Effective Date, or as soon thereafter as reasonably practicable, in full and final satisfaction, compromise, settlement, release, and discharge of and in exchange for the ▇▇▇▇▇ Claims, Quantum Partners LP shall receive 100% of the common equity in reorganized VM in lieu of its pro rata share of the Cash Portion of the Sale Proceeds.
MISCELLANEOUS.................................................17 This Registration Rights Agreement (this "Agreement") is made and entered into as of July 6, 1998 by and between Globalstar Telecommunications Limited a Bermuda Company (the "Company"), Loral Space Communications Ltd., a Bermuda company ("Loral"), and Quantum Partners LDC, Quasar Strategic Partners LDC, and Quantum Industrial Partners LDC.
Quantum Partners and the Company acknowledge and agree that (i) the provisions of this Exemption Agreement are reasonable and necessary to protect the proper and legitimate interests of the parties hereto, and (ii) the parties would be irreparably damaged in the event any of the provisions of this Exemption Agreement were not performed in accordance with their specific terms or were otherwise breached.
