If the Parties cannot agree on a laboratory within ten (10) calendar days of the Seller receiving the Quality Claim, the Seller may select a laboratory.
Thereafter, if a defect is discovered which causes Product(s) not to be in conformance with the Specifications which was not reasonably discoverable upon Quality Testing by Customer and was in no way caused by Customer (“Latent Defect”), Customer shall submit a Quality Claim to notify Roche of this Latent Defect.
Party B shall provide written Quality Claim and aforementioned Inspection Certificate within 14 days after the solar modules have arrived in the sea port of Part B.

Within 14 days after the arrival of the goods at Party B’s sea port, if Party B has not provided Party A any written Quality Claim for the solar modules, it will be considered that Party B has inspected the solar modules and accepted Party A’s product quality.
If the Buyer fails to notify the Seller that it requires the Controlling Sample to be tested within the above mentioned days of the notice of claim pursuant to this Clause, the Quality Claim will be extinguished and absolutely barred and waived as against the Seller.
After thirty (30) days have passed following delivery of Products to Customer’s Designated Facility without receipt of a Quality Claim, the Products shall be deemed to meet the Specifications, unless a Latent Defect (as defined below) is discovered.
