The statements contained in the Prospectus under the captions "Quality Acquisition," "Management's Discussion and Analysis of Financial Condition and Results of Operations - Liquidity and Capital Resources" and "Description of Capital Stock," insofar as they purport to summarize the provisions of statutes, legal and governmental proceedings or contracts and other documents, are materially accurate and fairly present in all material respects the information required to be shown.
Each Quality Acquisition Document is the legal, valid and binding obligation of each Borrower thereto and, to the Borrowers’ knowledge, the other parties thereto, enforceable against such parties in accordance with its terms.
Additionally, at the time of consummation thereof, there does not exist any judgment, order or injunction prohibiting or imposing material adverse conditions upon the consummation of the transactions contemplated by the Quality Acquisition Documents.
