Qualified Acceptance definition

Qualified Acceptance means the qualified acceptance of a Set pursuant to Paragraph 6 of Part A (Testing and Acceptance) of Schedule 2 (Introduction into Service);

  • If any Satellite has failed to achieve Satellite Acceptance or Qualified Acceptance within [***…***] days following its Launch, Purchaser reserves the right to de-orbit such Satellite at its own risk and own expense, subject to applicable laws and regulations.

  • If Provisional Satellite Qualified Acceptance for any Satellite has occurred pursuant to 10.2.3.1(a)(iii) or 10.2.3.1(c), then Purchaser shall pay to Contractor an amount calculated by multiplying the On-Orbit Satellite Acceptance Milestone for such Satellite by the performance value determined in accordance with Exhibit E.

  • Qualified Acceptance will be deemed to constitute Acceptance for purposes of (i) the payment schedules set forth in Exhibit C and Buyer agrees to pay Seller in accordance with such schedule to the extent that Qualified Acceptance has occurred, (ii) passage of title under Section V(B) hereof, and (iii) start of warranty.

  • Qualified acceptance by Buyer ("Qualified Acceptance") will occur upon determination by Buyer, and written notification to Seller thereof, that equipment or software, although not yet accepted, is suitable for beneficial use.

  • Purchaser shall have ten (10) days from its receipt of a Qualified Acceptance to accept and agree to the terms set forth therein.

  • However, Qualified Acceptance will not relieve Seller from any of its responsibilities under this Contract, including correction of deficiencies.

  • Buyer will have the right of free access to and use of any equipment of software with respect to which Qualified Acceptance has occurred.

  • If AT delivers to Purchaser a written rejection within thirty (30) days after Purchaser's delivery to AT of the Amendment Notice, or if Purchaser rejects the Qualified Acceptance, if applicable, then Purchaser shall be entitled to obtain such Fabric (or Lamination Services, if such Fabric is Laminated Fabric) with the amended specifications from an entity other than AT.

  • If AT does not deliver to Purchaser a written rejection of the Amendment Notice or a Qualified Acceptance within thirty (30) days after Purchaser's delivery to AT of the Amendment Notice, or if AT delivers to Purchaser a written acceptance of the Amendment Notice, then the specifications shall be amended as set forth in the Amendment Notice, and AT shall produce such Fabric in accordance with such amended specifications.

  • Environmental approval permission documents of the Project, including the original copy of Environmental Approval Suggestion and Notice on Qualified Acceptance of Environment Protection, shall be kept properly for future reference.

  • Order Acceptance has the meaning given in clause 1.2.

  • Fax of Acceptance means intimation regarding notification of award by the Employer to the successful Bidder/Service Provider through a Fax/ Letter conveying that the Tender/Bid/Offer has been accepted in accordance with the provisions contained therein.

  • Date of Acceptance means the date, which appears on the Notice of Acceptance issued by the Principal and if no date appears is the date on which the Principal sent the Notice of Acceptance accepting the Contractor’s Quotation.

  • Assignment and Acceptance means an assignment and acceptance entered into by a Lender and an assignee (with the consent of any party whose consent is required by Section 9.04), and accepted by the Administrative Agent, in the form of Exhibit A or any other form approved by the Administrative Agent.

  • Confirmation of Acceptance shall have the meaning specified in paragraph 2B(5).
