To the extent that Producer did acquire from QRI pursuant to the Asset Purchase Agreement oil, gas and/or mineral leases within the Contract Area which have been omitted from Exhibit A, such oil, gas and/or mineral leases shall be deemed to be included on Exhibit A and the Parties shall promptly amend Exhibit A to add such omitted oil, gas and/or mineral leases.
Any Party may elect to structure the assignment and conveyance of the portion of the QRI Assets for which the Cash Consideration is treated as having been paid as part of a like-kind exchange under Section 1031 of the Code.
All payments from Customer to QRI AI due hereunder shall be made free and clear of and without deduction or withholding for or on account of any Tax, duty or other charges, of whatever nature, imposed by any taxing or governmental authority.
If Customer is or was required by law to make any such deduction or withholding from any payment due hereunder to QRI AI, then, notwithstanding anything to the contrary contained in this Agreement, the gross amount payable by Customer to QRI AI will be increased so that, after any such deduction or withholding, the net amount received by QRI AI will not be less than QRI AI would have received had no such deduction or withholding been required.
Within ten (10) Business Days after execution of this Agreement, Quicksilver shall send notices to all co-owners of the QRI Assets that it currently operates indicating that it is resigning as operator contingent upon and effective at Closing, and nominating and recommending BreitBurn (or, at BreitBurn’s request, BreitBurn’s designated Affiliate under Section 11.3) as successor operator, subject to and in reliance on BreitBurn’s representations, warranties, covenants and agreements in this Section 6.16.
After the effective date of termination, QRI AI shall have no obligation to maintain or provide any Reports created by Customer prior to the date of termination and shall thereafter delete all Reports in its systems or otherwise in its possession or under its control.
Upon written notification from the Customer of any malfunction, defect or nonconformity that prevents the QRI AI SpeedWise Machine Learning Offering from performing in accordance with the provisions of this Agreement (or applicable SOW), QRI AI shall use commercially reasonable efforts to correct such malfunction, defect or nonconformity at no additional cost to Customer within a reasonable amount of time.
In the event that the Shares are exchanged for other securities of QRI or of a surviving entity resulting from a merger or other business combination involving QRI or any successor to QRI, then reference to the "Shares" herein shall refer to such other securities.
Except as set forth in Schedule 4.9, there are no Actions pending and, to Quicksilver’s Knowledge, there is no Action threatened in Law or in equity or before any Governmental Entity, against either of Quicksilver (with regard to the QRI Assets) or any of the Transferred Companies, that, if determined or resolved adversely, could result in a Material Adverse Effect.
For all Quicksilver-operated QRI Assets for which BreitBurn wishes to assume operatorship, Quicksilver, subject to compliance with all applicable operating agreements, shall execute and deliver to BreitBurn at Closing and BreitBurn shall promptly file all the appropriate forms with the applicable regulatory agency transferring operatorship of such QRI Assets to BreitBurn.
