QMED and the trademarks related thereto, as such trademarks more particularly described on attached Exhibit A. Said names and trademarks and the registrations therefore are hereinafter collectively referred to as the "Marks." It is a condition precedent to the transactions contemplated by the Purchase Agreement that Licensor grant Licensee a non-exclusive license to use the Marks in connection with Licensee's operation of its business, and Licensor and Licensee, by this Agreement, now desire to formalize the terms and conditions of their licensing relationship with respect to the Marks.

• Notwithstanding the above provisions of this Section 3, Q-MED and QVESTOR may sell, transfer, or assign their respective Shares of the Corporation to any subsidiary or affiliate of Q-MED or any business entity in which Q-MED owns an interest in excess of fifty percent (50%), without first offering such shares to the Corporation or the other shareholders.

• EXCEPT AS EXPRESSLY SET FORTH IN SECTION 9.1 ABOVE, Q-MED DISCLAIMS ALL WARRANTIES WHATSOEVER WITH RESPECT TO THE Q-MED PATENTS AND THE LICENSED PRODUCT, EITHER EXPRESS OR IMPLIED.

• THE FOREGOING WARRANTIES BY Q-MED ARE EXCLUSIVE AND IN LIEU OF ALL OTHER WARRANTIES OF QUALITY AND PERFORMANCE, WRITTEN, ORAL OR IMPLIED, AND ALL OTHER WARRANTIES INCLUDING ANY IMPLIED WARRANTIES OF MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE ARE HEREBY DISCLAIMED BY Q-MED, ITS AFFILIATES AND THEIR SUBCONTRACTORS.
