QIPO Valuation means an amount equal to (i) the initial price per share of Company's Common Shares issued in the IPO (and, if such price is not expressed in Dollars, then its equivalent in Dollars) multiplied by (ii) the number of outstanding Company's Common Shares immediately following the closing of the IPO.
