QINC has the meaning set forth in the preamble to this Agreement.

  • In connection with any such processing functions, the Borrower shall pay to QINC its reasonable out-of-pocket costs and expenses from the Borrower’s own funds (subject to the priority of payments set forth in Section 4.01).

  • Each Receivable contributed by QINC to the capital of the Buyer pursuant to this Section 3.1(a) and Section 3.2 below is herein referred to as a “Contributed Receivable”.

  • Until the Administrative Agent gives notice to QINC (in accordance with this Section 9.01) of the designation of a new Servicer, QINC is hereby designated as, and hereby agrees to perform the duties and obligations of, the Servicer pursuant to the terms hereof.

  • The Buyer is a special purpose limited liability company, all of the issued and outstanding membership interests of which are owned by QINC.
