Each such committee shall be composed of one or more Board Members’; provided, that, all committees of the Board must include the QIC Manager.
The QIC Manager shall be permitted to grant to any officer of Qiddiya Investment Company a written proxy with respect to the voting rights of the QIC Manager with respect to any meeting of the Board or committee thereof.
Special meetings of the Board may be called by a majority of the Board Members or the QIC Manager.
