PW Statements means the Special-Purpose Combined Statement of Working Capital and the Special-Purpose Combined Statement of Earnings Before Interest, Taxes and Amortization of the Subject Business as of and for the year ended December 29, 1995.

The PW Statements present fairly, in all material respects, the combined and consolidated working capital and earnings before interest, taxes and amortization of the Subject Business as of December 29, 1995 and for the accounting year then ended on the basis set forth therein and in note 1 thereto in conformity with generally accepted accounting principles.
