The Purchaser Required Vote at the Purchaser Stockholder Meeting to approve this Agreement and the transactions contemplated hereby is the only vote of the holders of any class of the Purchaser’s shares necessary to approve the transactions contemplated by this Agreement; provided, however, that the transactions contemplated by this Agreement may be consummated only if the limitations on redemption specified under the Existing Charter have not been exceeded.
Subject to the provisions of applicable Law, at any time prior to the Closing, whether before or after receipt of the Purchaser Required Vote, if applicable, the parties hereto may modify or amend this Agreement by written agreement executed and delivered by duly authorized officers of the respective parties (provided, however, that, after the Closing, this Agreement may solely be modified or amended by Purchaser and the Sellers and the Company shall not have any such rights).
