Purchase Statement definition

Purchase Statement means, for any Closing Date, a statement prepared by Sunlight, in form and substance acceptable to Bank and Purchaser and setting forth the Subject Loans for such Closing Date. The Parties acknowledge and agree that Sunlight may treat Loans described in this Agreement as Subject Loans by including such Loans in a Purchase Statement, or, alternatively, as Other Loans under an Other Loan Sale Agreement by including such Loans in a purchase statement for any Other Purchaser rather than a Purchase Statement under this Agreement.
Purchase Statement means, a statement agreed between the Company and the Investor in respect of the Convertible Securities to be issued at the Purchase, substantially in the form of Annexure C, which specifies the gross proceeds, deductions, net proceeds to be received by the Company, and the Company’s wire transfer details. Redemption Amount has the meaning given to that term in the Details Schedule.
Purchase Statement has the meaning given to it in the auction rules. Reconciliation Statement is defined in clause 10. Relevant Allocation Confirmation means, in respect of an SRDA, the Allocation Confirmation pursuant to which the SRDA is formed in accordance with clause 5.2. Relevant Cancellation Confirmation means, in respect of Cancelled Units, the Cancellation Confirmation pursuant to which the Cancelled Units are cancelled in accordance with clause 6.2.

  • No later than 4pm CST on the same Business Day that the Daily Purchase Statement is provided, Receivables Purchaser shall effect payment to Bank of the Purchase Price as described on the applicable Daily Purchase Statement.

  • Such Purchase Statement shall supersede the existing Purchase Statement and, if applicable, RDL will grant a refund in relation to any cancelled Plots.

  • Purchase Price Payment For each SRDA, the Auction Participant must pay the Purchase Price by the payment date and time specified in the Purchase Statement by authorising the transfer of funds in dollars to the AEMO Clearing Account.
