Purchase Price Offset definition

Purchase Price Offset means a monetary offset Jacor makes against the Stock Purchase Price (as defined in the Stock Purchase Agreement) for any damages resulting from a breach of the Stock Purchase Agreement.
Purchase Price Offset has the meaning set forth in Section 2.1.
