The Board of Directors of the Company, without any further action by Parent, shall take all actions necessary pursuant to the terms of the Company's 2002 Employee Stock Purchase Plan and the 1997 Employee Stock Purchase Plan (collectively, the "COMPANY PURCHASE PLANS") to shorten all Offering Periods (as defined in the Company Purchase Plans) such that all Offering Periods then in progress terminate no later than immediately prior to the Effective Time.
