Purchase Order Certificate definition

Purchase Order Certificate means a certificate signed by the Chief Executive or Chief Financial Officer of the Company certifying (i) the amount of such proposed Additional Closing Request, (ii) that the purchase orders submitted therewith are Purchase Orders from Qualified Customers, (iii) the amount of the Delinquent Purchase Orders (without duplication from past periods); and (iv) that copies of such Purchase Orders attached thereto are true, correct and complete.
