Publishing Order definition

Publishing Order has the meaning set forth in Section 3.11.
Publishing Order means a written request or order signed in the name of Publishing by any one of its Chairman of the Board, its Vice Chairman, its President or a Vice President (regardless of Vice Presidential designation), and by any one of its Treasurer, an Assistant Treasurer, its Secretary or an Assistant Secretary, and in form and substance reasonably satisfactory to the Trustee and delivered to the Trustee.
Publishing Order has the meaning set forth in Section 4.16.

Examples of Publishing Order in a sentence

  • Upon surrender for cancellation of any one or more temporary Securities, Publishing shall execute and upon a Publishing Order the Trustee shall authenticate and deliver in exchange therefor a like principal amount of definitive Securities of such Series of authorized denominations.

  • Publishing or any Restricted Subsidiary may at any time deliver to the Trustee for cancellation any Securities previously authenticated and delivered hereunder which Publishing or any such Restricted Subsidiary may have acquired in any manner whatsoever, and all Securities so delivered shall upon receipt of a Publishing Order be promptly canceled by the Trustee.

  • To the extent the provision by Publisher to Verizon of any such services or materials is prohibited by such Publishing Order, Publisher shall reimburse Verizon for Verizon’s costs in performing or obtaining such services and materials.

  • The election of Publishing to redeem any Securities pursuant to Section 11.01 shall be evidenced by a Publishing Order and an Officers' Certificate.

  • If Verizon is required to separately Publish any White Pages by any Publishing Order, Publisher shall provide all services and materials to Verizon that are necessary for Verizon to Publish such White Pages, including printing, distribution and paper, to the maximum extent permitted by such Publishing Order, at Publisher’s sole cost and expense.

  • To the extent the provision by Publisher to SureWest of any such services or materials is prohibited by such Publishing Order, Publisher shall reimburse SureWest for SureWest's costs in performing or obtaining such services and materials.

  • To permit registrations of transfers and exchanges and subject to the other terms and conditions of this Article III, Publishing will execute and upon Publishing Order, the Trustee will authenticate Certificated Notes and Global Notes at the Note Registrar’s request.

  • At any time and from time to time after the execution and delivery of this Indenture, Publishing may deliver Securities executed by Publishing to the Trustee for authentication, together with a Publishing Order for the authentication and delivery of such Securities; and the Trustee in accordance with such Company Order shall authenticate and deliver such Securities as provided in this Indenture and not otherwise.

  • In accordance with the Issue Date Registration Rights Agreement, upon the effectiveness of any Exchange Offer Registration Statement, Publishing will execute and upon Publishing Order, the Trustee will authenticate Exchange Notes or Private Exchange Notes, as the case may be, in exchange for Issue Date Notes.

  • If SureWest or SWT is required to Publish any White Pages by any Publishing Order, Publisher shall provide all services and materials to SureWest that are necessary for SureWest to Publish such White Pages, including printing, distribution and paper, to the maximum extent permitted by such Publishing Order, at Publisher's sole cost and expense.
