Public Placement definition

Public Placement means the placement of a child with a disability in a facility with an approved facility school or another out-of-home placement by a court or public agency.

  • If the Public Placement and the Private Placement do not in the aggregate complete offerings which raise a minimum of $75,000,000 as aforesaid prior to the Closing Date hereunder, the BRI Partnership shall have the right to terminate this Agreement effective as of the Closing Date, and, thereafter this Agreement shall be void and without recourse to all parties except for provisions which are expressly stated to survive termination of this Agreement.

  • The Investor is intentionally making the investment in the Public Placement knowing that there may be material non-public information regarding the Company of which the Investor is not aware.
